Terms of Engagement

1. Engagement Structure & Statements of Work

All engineering services rendered by Cafronic Studio Lab LLC ("Cafronic") are executed pursuant to custom Statements of Work ("SOW") incorporating these Terms of Engagement. Each SOW delineates the functional technical requirements, benchmark metrics, target cloud infrastructure, fixed-cost schedule, and delivery milestone timeline.

2. 14 to 28-Day Delivery Cadence & SLA

Cafronic commits to rapid, high-velocity engineering cycles. Production platforms and autonomous agent workflows specified for standard cohorts are delivered within 14 to 28 business days from the formal Project Kickoff Date.

• Sprint 1 (Days 1–7): Topology design, schema formalization, foundational repo initialization, and model routing orchestration.
• Sprint 2 (Days 8–14): End-to-end multi-agent logic, tool-calling pipelines, RAG ingestion, and staging deployment.
• Sprint 3 (Days 15–21): Load testing, benchmark latency tuning (sub-100ms budgets), and security hardening.
• Sprint 4 (Days 22–28): Production cutover, GPG-signed handoff, and complete IP transfer deed execution.

3. Milestone Acceptance Protocol

Milestone completion is validated against measurable technical criteria outlined in the SOW (e.g., automated test suite pass rate $\ge 98\%$, latency budgets, deterministic schema conformance). The Client maintains a five (5) business day review window upon delivery of each milestone staging build.

If minor defects or discrepancies are identified, Cafronic will remediate them with priority engineering dispatch at no additional expense prior to milestone sign-off.

4. Payment Terms & Zero Monthly Retainers

Cafronic eliminates predatory agency retainers. Compensation is structured strictly around milestones (e.g. 50% upon project kickoff, 50% upon verified production handoff, or sprint-by-sprint tranches). Payments are due upon approved milestone invoice. Unencumbered IP assignment occurs immediately upon final settlement.

5. 90-Day Production Commercial Warranty

Cafronic warrants that for ninety (90) days following production cutover, the delivered software will perform substantially in accordance with the specifications established in the SOW. In the event of a reproducible bug, runtime defect, or unintended latency drift, Cafronic will diagnose and deploy a patch within forty-eight (48) hours at zero incremental cost.

6. Confidentiality & Mutual Non-Disclosure

Both parties agree to hold all proprietary trade secrets, unreleased platform roadmaps, API credentials, and internal customer records in strict confidence. This obligation survives termination of the engagement perpetually.

7. Governing Law & Jurisdiction

These Terms of Engagement and any associated SOW shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising hereunder shall be resolved via binding arbitration through the American Arbitration Association (AAA) in San Francisco, California or Wilmington, Delaware.
