IP Transfer & Ownership Deed

1. Perpetual Worldwide Assignment of Work Product

Cafronic Studio Lab LLC ("Assignor") unconditionally assigns, conveys, transfers, and releases to the Client ("Assignee") all worldwide rights, titles, and interests in and to all custom deliverables, including but not limited to source code, object code, system topologies, database schemas, UI components, micro-services, and architectural documentation created under any Statement of Work.

This assignment is irrevocable, perpetual, exclusive, fully paid-up, royalty-free, and effective globally across all media and technologies now known or hereafter developed.

2. Artificial Intelligence Model Weights & Checkpoints

Unlike conventional AI consulting agencies that reserve proprietary ownership of custom model adaptations, Cafronic grants you exclusive title to:

• All fine-tuned model checkpoint weights (e.g. LoRA, QLoRA, full-rank weights).
• Custom vector database indexes, sparse-dense hybrid retrieval embeddings, and semantic cache dictionaries.
• Proprietary system prompt architectures, tool-calling JSON schemas, and agent graph decision hierarchies.
• Synthetic datasets, evaluation benchmark runs, and test fixtures generated for your platform.

3. Third-Party Open Source Licensing Assurance

Cafronic engineers platforms utilizing permissive, battle-tested open-source primitives (e.g., Apache-2.0, MIT, BSD 2/3-Clause). Under no circumstances will Cafronic introduce restrictive copyleft licenses (e.g., GPLv3, AGPL) into your commercial codebase without your explicit written consent, ensuring your proprietary platform remains 100% commercially unencumbered.

4. Freedom to Commercialize, Patent, and Open-Source

As the sole and exclusive owner of the deliverables, you maintain unconstrained freedom to:

• Commercialize, monetize, or sublicense the platform to enterprise customers.
• File patent applications or protect software inventions under your corporate name.
• Open-source all or part of the software at your discretion.
• Assign or sell the intellectual property in connection with mergers, acquisitions, or IPOs without ongoing Cafronic consent or platform fees.

5. Waiver of Moral Rights & Non-Assertion

To the maximum extent permitted by applicable law, Cafronic waives any moral rights ("droit moral") in the work product and covenants never to assert any intellectual property claim, copyright infringement action, or royalty demand against the Client or its successors.
